1.0 THIS IS POLYCHEM

The Employee Handbook is a statement of the rules, regulations, duties and obligations pertaining to employees at Polychem Corporation. It is mandatory that each employee understand the contents of the Employee Handbook and that there be written documentation on file as proof that each page of the Employee Handbook has been explained to the employee. Therefore, the signing of the disclaimer and any supplemental modifications of the Employee Handbook are prerequisites to the commencement and continuation of employment at Polychem. Any current employee who refuses to sign the disclaimer within the Employee Handbooks (and disclaimers for all future changes and additions) will be given a three month written notice prior to their termination.

    Introduction

IMPORTANT — PLEASE READ —
THE FOLLOWING CONTAINS PERTINENT INFORMATION
REGARDING THE POLYCHEM CORPORATION EMPLOYEE HANDBOOK.

We have designed this handbook to use as your personal reference in asnwering questions that you may have about your job or company policies and benefit programs.

This handbook does not and is not intended to create either an express and/or implied contract of employment or a warranty of benefits. Its sole purpose is to inform you of our Company policies, benefit programs and work rules. Additionally, we reserve the wright to change this handbook unilaterally at any time we determine a need to do so.

Your employment with the Polychem Corporation is on an at-will basis, which means that your employment and compensation can be terminated with or without cause and with or without notice, at any time, at the option of either the company or you.

No supervisor, manager or representative of the Polychem Corporation, other than the president or vice president of the Company, has any authority to enter into any agreement or contract for employment for any specified period of time. And finally, so that we can all be clear about the importance of these Company policies, any and all previous verbal and/or written policy or practice that is contrary to what is presented herein is null and void.

If you have questions about any of the information in this handbook, please talk to your Supervisor or our Personnel Department.

    Waiver

Polychem reserves the right to waive any of the terms set forth in the Employee Handbook for a particular employee. Only the President or Vice-President has the authority to grant a waiver. Such waiver will have no effect upon, nor provide any recourse for, employees not subject to the waiver. The Company will expend its best efforts to recognize all rights and privileges accorded in the Employee Handbook, unless doing so would impair the operation of the business or expose the Company to legal liability or financial loss.

    Change

We live in a constantly changing world. The economy changes, laws change and industries change. Therefore, Polychem Corporation reserves the right to change the benefits and policies contained in the Company Policy and Procedure Manual.

2.0 EMPLOYMENT POLICIES

    Continued Employment

Continued employment is contingent upon continued acceptable job performance and prevailing economic conditions. This Handbook does not and is not intended to create either an express and/or implied contract or a warranty of benefits.

    Acceptable Job Performance

Acceptable job performance is difficult to define generally and will vary by job and department. However, the following requirements apply to all positions.

a) Good daily attendance record
b) Punctuality in reporting to work
c) Accuracy in job performance
d) Compliance with all published Company policies and procedures
e) Cooperation and subordinancy in carrying out the instructions of Supervisors and Management

    Job Description

Each employee will receive a written job description detailing the following:

a) Days of the week to report to work
b) Starting time of work on each day
c) Authorized times for breaks
d) Stopping time of work on each day.
e) Authorized work areas
f) General description of duties and responsibilities.
g) Supervisor and manager from whom they take instructions.
h) Subordinates (if any) to whom they may give instructions.

Please note that by giving a general description of duties and responsibilities in the job description, the Company does not mean to limit an employee’s work to only those duties and responsibilities. It is expected when the need arises that the employee will perform whatever reasonable task is asked of him/her.

    Open Door Policy

The General Manager is always available to any employee and is willing to listen to any problem, complaint, request or suggestion. Employees are encouraged to come and discuss whatever is on their minds.

    New Employees

A new employee is anyone who has been employed at Polychem Corporation for one year or less. During this time, you will have the opportunity to become familiar with your work, the Company and your co-workers. New employees are not entitled to paid vacation or paid sick leave.

    Equal Employment

One objective of the Company is to obtain qualified employees consistent with position requirements; to seek, employ, promote and treat all employees and applicants for employment without discrimination as to race, color, sex, age, religion, marital status, physical disability, gender orientation or national origin. Polychem Corporation is an Equal Opportunity Employer.

    Personal Identification

In compliance with the Immigration Reform and Control Act of 1986, Polychem Corporation requires of all new employees copies of suitable personal identification demonstrating eligibility to work in the United States. Suitable identification includes one or more of the following” driver’s licence, birth certificate, passport, social security card, “green card,” etc.

    Part-Time Employee
    Part-Time Employees

A part-time employee at Polychem Corporation is any employee who works thirty (30) hours per week or less. Part-time employees are not entitled to any of the benefits of a full-time employee. Part-time employees are compensated only for hours actually worked. Part-time employees do not receive vacation leave, sick leave, holiday pay, bonuses or medical insurance.

    Salaried Employees

All portions of the Polychem Corporation Employee Handbook shall apply equally to salaried employees with few exceptions.

    Negligent Misrepresentation

The published Polychem Corporation Employee Handbooks shall be the sole source and authority for each employee in understanding his/her relationship with Polychem Corporation. All verbal and written assurances which are in conflict or contradiction with the published Polychem Corporation Employee Handbook are null and void. Only the President or Vice-President may hire/fire. Any employee, representative, agent or consultant of Polychem Corporation who gives to another employee a conflicting or contradictory assurance, either verbal or in writing, shall be subject to dismissal or negligent misrepsentation. Any employee who recievs an assurance which is in conflict with the published Employee Handbook should report the situation immediately to a member of Polychem management. All individuals who come into contact with Polychem employees on a regular basis (e.g. consultants, salespeople, etc) will be asked to read and sign a copy of the Polychem Corporation Employee Handbook in order to demonstrate that they are properly informed of it’s contents.
